Terms of Service

1. Acceptance of Terms

By accessing or using FormLab (“the Service”, “we”, “our”, or “us”), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

These terms apply to all users of the Service, including athletes, coaches, and visitors. Your continued use of the Service after any changes to these terms constitutes your acceptance of those changes.

2. Account Terms

To use FormLab, you must create an account. When creating your account, you agree to the following:

You may only maintain one account per person. Multiple accounts for the same individual are not permitted.
You must provide accurate, complete, and current information when registering.
You must be at least 18 years of age to use the Service, whether as a coach or as an athlete. FormLab does not knowingly permit accounts for anyone under 18. If we become aware that an account belongs to a person under 18, we reserve the right to immediately terminate the account.
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
You must promptly notify us of any unauthorized access or security breach at support@formlabapp.com.

We reserve the right to suspend or terminate accounts that violate these terms or that we determine, in our sole discretion, are being used fraudulently.

3. User Roles

FormLab supports two user roles, each with distinct responsibilities:

Coaches

Coaches create and manage subscription tiers, provide video feedback to athletes, may schedule and deliver in-person or live instruction arranged through FormLab, and receive payments through Stripe Connect. As a coach, you are responsible for:

Delivering feedback in a timely and professional manner as described in your subscription tiers
Setting appropriate pricing and clearly communicating what athletes receive
Complying with Stripe’s terms of service and all applicable payment regulations
Ensuring your coaching advice is accurate and does not cause harm
Delivering any in-person or live instruction you arrange through FormLab safely and lawfully

Athletes

Athletes subscribe to coaches, submit videos for review, book sessions with coaches, and receive feedback. As an athlete, you are responsible for:

Submitting videos that comply with acceptable use guidelines
Paying subscription fees on time and in full
Engaging respectfully with coaches through the platform
Assessing your own fitness to participate in any in-person or live instruction you book

4. Content Ownership

FormLab respects your ownership of the content you create and upload.

Athlete videos: Videos uploaded by athletes remain the sole property of the athlete who uploaded them. FormLab does not claim ownership over athlete video submissions.
Coach feedback recordings: Screen recordings, audio feedback, and written comments created by coaches during their coaching sessions remain the intellectual property of the coach.
License to FormLab: By uploading content to the Service, you grant FormLab a non-exclusive, worldwide, royalty-free license to host, store, display, and transmit your content solely for the purpose of operating and improving the Service. This license does not allow FormLab to sell your content or use it for advertising. Where you have agreed that a specific video may be shown publicly, FormLab may display that video on your coach’s FormLab profile page. This permission covers only the video you agreed to and only on FormLab; it does not otherwise allow FormLab to sell your content or use it for advertising.
Deletion: You may delete your content at any time through the Service. Upon deletion, FormLab will remove the content from active storage. Residual copies may remain in backups for up to 90 days.

You represent and warrant that you have all necessary rights to the content you upload and that your content does not infringe any third-party intellectual property rights.

5. Payment Terms

FormLab uses Stripe Connect to facilitate payments between athletes and coaches.

Fee structure: Coaches set their own subscription and session prices. Two separate fees are deducted from each transaction. FormLab charges its own platform fee; the current default rate is published on the FormLab fee schedule, which is authoritative for the current rate, and the rate applied to a particular account may differ under a negotiated or grandfathered rate. Stripe, the payment processor, charges a separate processing fee of 2.9% plus $0.30 per transaction. This fee is assessed directly by Stripe, independently of FormLab’s platform fee. The coach receives the amount remaining after both fees are deducted. If a coach sells as part of a team, the agreement between the coaches decides what each coach receives.

Recurring subscriptions: Subscriptions renew automatically at the billing interval you choose at checkout: monthly, or every 3, 6 or 12 months where your coach offers it. The amount and the interval are shown before you pay. By subscribing, you authorize FormLab to charge that amount to your payment method on file at the start of each billing period until you cancel. Discount codes apply to monthly billing only.

Changes to a coach’s rate: For coaches, the platform fee rate that applies to your account is the rate in effect when your account was created, or a rate separately agreed for your account. FormLab will give you at least 30 days’ notice before changing the rate that applies to your account.

Unused allowances: Allowances refresh monthly, whatever the billing interval. What each plan includes, and whether unused video reviews carry over to the next month, is set by your coach and shown on the plan before you subscribe.

Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You retain access to coaching services until the period ends.

No refunds for partial periods: We do not provide refunds or credits for the unused part of a billing period, including a 3, 6 or 12-month period paid up front. If you cancel, your subscription continues until the end of the period you have paid for, after which no further charges will be made.

Payment disputes: Any payment disputes must be raised within 30 days of the charge. Contact us at support@formlabapp.com with details of the disputed charge.

6. Acceptable Use

When using FormLab, you agree not to:

Harass, threaten, intimidate, or abuse other users
Upload illegal content or content that violates third-party rights
Send spam or unsolicited communications through the platform’s messaging system
Attempt to reverse engineer, decompile, or extract the source code of the Service
Use automated bots, scrapers, or other tools to access the Service without permission
Impersonate other users or misrepresent your identity or affiliation
Upload content containing malware, viruses, or other malicious code
Engage in any activity that interferes with or disrupts the Service

FormLab reserves the right to suspend or terminate any account found to be in violation of these acceptable use policies, with or without prior notice depending on the severity of the violation.

7. Service Availability

FormLab is currently provided as a beta service. By using the Service, you acknowledge that:

The Service is provided “as is” without warranty of uninterrupted availability
The Service may contain bugs, errors, or other issues typical of beta software
We will make reasonable efforts to maintain uptime and address issues promptly
Scheduled maintenance may occasionally cause temporary unavailability

FormLab reserves the right to modify, suspend, or discontinue any feature or aspect of the Service at any time, with reasonable notice where possible. We are not liable for any modification, suspension, or discontinuation of the Service.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

FormLab is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
FormLab is not liable for damages arising from loss of data, loss of profits, or business interruption
Our maximum liability to you for any claim arising from your use of the Service is limited to the total fees you paid to FormLab in the 12 months preceding the claim
Some jurisdictions do not allow limitations of liability, so these limitations may not apply to you

The coaching advice, feedback, and instruction provided through or arranged by FormLab is for informational and educational purposes. FormLab does not provide coaching services and is not present at any in-person session. FormLab is not responsible for any physical injury or harm that may result from following coaching advice received through the platform, or from participating in any in-person or live instruction arranged, scheduled, or paid for through FormLab. FormLab provides software that coaches use to work with their own clients. FormLab does not introduce, match or recommend coaches to athletes, does not employ coaches, and does not verify, vet or endorse any coach’s qualifications, background or credentials. A coach’s profile and any reviews shown on it are not a recommendation by FormLab.

9. Changes to Terms

We may update these Terms of Service from time to time to reflect changes in our practices, legal requirements, or Service features. When we make material changes:

We will update the “Effective date” at the top of this page
We may notify users by email for significant changes
We may also display an in-app notice summarizing what changed and asking you to accept the updated terms
For minor changes, posting the updated terms on this page constitutes notice

Your continued use of the Service after changes are posted constitutes your acceptance of the updated terms. If you do not agree to the updated terms, you must stop using the Service.

10. Governing Law and Disputes

This section deals with two different kinds of dispute. Section 10.1 covers a dispute between you and FormLab. Section 10.2 covers a dispute between two coaches. They are governed differently, and neither extends the other. These Terms do not choose the law or the courts for any other dispute between users, such as between an athlete and a coach.

10.1 Disputes between you and FormLab

This Section 10.1 applies only to a dispute between you and FormLab. FormLab is operated by Unofficial Solutions LLC, a Texas limited liability company, and in this Section 10 “FormLab” includes Unofficial Solutions LLC. These Terms, and any dispute between you and FormLab arising out of them or out of your use of the Service, are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Such a dispute may be brought only in the state or federal courts serving the place in Texas where Unofficial Solutions LLC has its principal place of business, and you and FormLab each consent to the personal jurisdiction of those courts for that purpose. This Section 10.1 does not apply to a claim brought in a small claims court under Section 10.3.

10.2 Disputes between coaches

This Section 10.2 applies only to a dispute between two coaches who work together through FormLab, such as under a Team Agreement. Section 10.1 does not apply to such a dispute, and nothing in these Terms chooses the law or the courts for it: that is governed by the agreement between the coaches, which, where the FormLab Team Agreement applies, names the courts where the coach against whom the claim is brought resides or has their principal place of business. FormLab is not a party to any dispute between coaches and has no obligation to participate in, mediate, fund, indemnify, or resolve one, and you agree not to join FormLab to a proceeding between coaches for that purpose. FormLab will, however, provide the recorded agreement versions, the acceptance history for each version, and the lead-source records relating to the team relationship on request of either coach, or in response to lawful process.

10.3 Small claims

Nothing in this Section 10 prevents you or FormLab from bringing a claim within the jurisdictional limits of a small claims court.
